These Terms of Use ("Terms") govern your access to and use of the website and software-as-a-service platform ("Platform") operated by Simple Solution Solutions LLC ("Themenuverse," "we," "us," or "our") at themenuverse.com. By registering for an account or accessing the Platform, you agree to be bound by these Terms.

1. Definitions

  • "Platform": The themenuverse website, dashboard, and all related services for creating digital menus via QR codes.
  • "Restaurant Customer," "you," "your": A business entity or individual that registers an account to use the Platform.
  • "End-User": A diner or guest who scans a QR code generated via your account to view your digital menu.
  • "Content": Any data, text, images, menu items, prices, logos, or other materials uploaded to the Platform.

2. Account Registration & Responsibilities
You must provide accurate and complete information when creating an account. You are responsible for all activities under your account, maintaining the confidentiality of your password, and ensuring your employees or agents comply with these Terms. You must be at least 18 years old and have the authority to bind the business you represent.

3. License & Use of the Platform
Subject to these Terms and payment of fees, Themenuverse grants you a limited, non-exclusive, non-transferable license to use the Platform for the duration of your subscription to create and manage digital menus for your own business.

4. Restaurant Customer Content & Obligations

  • Your Content: You retain ownership of the Content you upload. You grant Themenuverse a worldwide, royalty-free license to host, cache, store, display, and reproduce your Content solely to provide the Platform to you.
  • Your Representations: You represent and warrant that you own or have all necessary rights to your Content, and that your Content does not infringe any third-party rights or violate any laws.
  • Prohibited Content: You may not upload Content that is unlawful, abusive, fraudulent, pornographic, infringing, or that contains viruses/malware.

5. Restaurant Customer Guidance on Data Privacy & End-User Notices
You acknowledge and agree that you are solely responsible for complying with all applicable privacy and data protection laws concerning the personal data of your End-Users. This responsibility is independent of Themenuverse's own privacy practices.

  • Your Role as a Data Controller: When an End-User scans your QR code, you are collecting information about them (e.g., device data, location if enabled, and any personal data they provide via feedback or ordering features). You, not Menuverse, determine the purposes and means of this processing for your business purposes and are considered the "data controller" under laws like the GDPR.
  • Your Privacy Notice ObligationYou are required to provide your own privacy notice to your End-Users. This notice must clearly explain:
    • What information is collected when they scan your QR code menu.
    • How you use that information (e.g., for analytics, marketing, order processing).
    • Whether you share it with any third parties.
    • How End-Users can exercise their privacy rights regarding their data.
  • Implementation Guidance: This notice should be accessible to End-Users, typically via a link labeled "Privacy Policy" or "Data Notice" on the digital menu page itself. Menuverse provides the technical functionality for you to add such a link to your menu layout.

6. Fees & Payment
You agree to pay all fees specified for your chosen subscription plan. Fees are billed in advance and are non-refundable except as required by law. Failure to pay may result in immediate suspension or termination of your account.

7. Intellectual Property
The Platform, its underlying software, design, and all Themenuverse trademarks are the exclusive property of Themenuverse and its licensors and are protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of the Platform.

 

8. Disclaimers & Limitation of Liability

  • "As Is" Service: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MENUVERSE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND.
  • No Guarantees: We do not guarantee that the Platform will be uninterrupted, error-free, or secure.
  • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUVERSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification
You agree to indemnify and hold Themenuverse harmless from any claim, damage, or expense (including attorneys' fees) arising from: (a) your Content; (b) your violation of these Terms; or (c) your failure to comply with any data privacy laws or to provide an adequate privacy notice to your End-Users.

10. Termination
We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Platform ceases immediately, and we may delete your Content after a reasonable period.

11. General Provisions
These Terms constitute the entire agreement between you and Themenuverse. They are governed by the laws of the State of [Your State], without regard to conflict of law principles. If any provision is found unenforceable, the remaining provisions remain valid.
